To the extent that Franchisee has any existing consultants, contractors, or other design specialists and the work quality or the performance of any such existing consultants, contractors, or specialists does not meet Hyatt's standards, or is otherwise deemed unacceptable to Hyatt, Franchisee agrees to replace such consultants, contractors, or specialists with Consultants enumerated on Exhibit A and which have been agreed to by Hyatt, promptly at Hyatt's direction.

What This Means (2025 FDD)
According to The Standardx's 2025 Franchise Disclosure Document, a franchisee may be required to replace existing consultants, contractors, or other design specialists under specific conditions. If the work quality or performance of these existing professionals does not meet Hyatt's standards, or if Hyatt deems their work unacceptable, the franchisee must replace them promptly. The replacements must be consultants enumerated on Exhibit A of the FDD and agreed upon by Hyatt. This ensures that all consultants meet The Standardx's requirements for the project.
This requirement is significant for prospective franchisees because it means they may not have complete autonomy in choosing or retaining their preferred consultants. The Standardx, through Hyatt, retains the right to ensure that all consultants meet their standards, potentially adding costs if replacements are necessary. Franchisees should factor in the possibility of needing to replace existing consultants when budgeting for the project.
This stipulation is not uncommon in franchising, particularly in the hotel industry, where brand consistency and quality are critical. Franchisors often maintain approval rights over key suppliers and consultants to protect their brand reputation. However, franchisees should carefully review Exhibit A to understand the pool of approved consultants and the potential costs associated with engaging them. It is also important to clarify with The Standardx the specific criteria used to evaluate the performance and work quality of consultants to avoid potential disputes or unexpected replacement costs.
