EXCEPT AS STATED ABOVE, HYATT MAKES NO OTHER REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, AS TO IT PROJECT MANAGEMENT SERVICES, GOODS OR SOFTWARE DELIVERED,
INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, QUALITY, PERFORMANCE, INTEGRATION, SECURITY, SYSTEM UPTIME, DATA INTEGRITY, OR TITLE. HYATT MAKES NO REPRESENTATIONS OR WARRANTIES THAT SYSTEM DISRUPTIONS, SECURITY BREACHES OR IMPAIRMENTS WILL NOT OCCUR AND DISCLAIMS ALL RELATED EXPRESS AND IMPLIED WARRANTIES. What This Means (2025 FDD)
According to The Standardx's 2025 Franchise Disclosure Document, The Standardx provides a limited warranty that its IT Project Management Services will be performed in substantial accordance with the specifications in Exhibit E. However, The Standardx explicitly disclaims all other representations and warranties regarding IT Project Management Services, goods, or software delivered.
Specifically, The Standardx does not provide any express or implied warranties of merchantability, fitness for a particular purpose, non-infringement, quality, performance, integration, security, system uptime, data integrity, or title. This means that if a franchisee experiences issues with the IT systems, software, or goods provided, such as a system malfunction or data breach, The Standardx is not liable beyond the limited warranty to perform services in accordance with Exhibit E.
Furthermore, The Standardx makes no guarantees that system disruptions, security breaches, or impairments will not occur and disclaims all related express and implied warranties. The Standardx is also not liable for any loss or corruption of data, or network insecurity. Franchisees must acknowledge and accept these disclaimers as part of the franchise agreement, understanding that they bear the risk of such issues and should implement their own data backup and disaster recovery plans.
