Who qualifies as a 'Comfort Letter Party' for The Standardx franchise?
The_Standardx Franchise · 2025 FDDAnswer from 2025 FDD Document
Franchisee must cause each Comfort Letter Party to sign a comfort letter or other agreement that Hyatt reasonably specifies under which such Comfort Letter Party agrees, among other things, to assume Franchisee's obligations under this Agreement (subject to Hyatt's rights under ARTICLE XII) if the Comfort Letter Party or any of its Affiliates acquires title or otherwise assumes possession, or the right to sell or direct the disposition of, the Hotel's real property or building and improvements. Franchisee shall pay Hyatt its then current comfort letter fee for each comfort letter that Hyatt negotiates relating to the Hotel. In addition, upon Hyatt's request from time to time, Franchisee must cause each Comfort Letter Party to sign and deliver to Hyatt an estoppel in the form that Hyatt reasonably specifies concerning the status of Franchisee's contractual relationship with that Comfort Letter Party.

What This Means (2025 FDD)
According to The Standardx's 2025 Franchise Disclosure Document, a 'Comfort Letter Party' is defined in the context of a comfort letter or agreement that The Standardx specifies. Franchisees must ensure that each Comfort Letter Party signs this letter, agreeing to assume the franchisee's obligations under the Franchise Agreement if they acquire control of the hotel's real property or building.
The comfort letter ensures that if a lender or another party takes possession of the hotel property, they agree to uphold the franchisee's obligations to The Standardx. This provides The Standardx with a degree of security that the hotel will continue to operate under the franchise agreement, even if the original franchisee is no longer in control.
The franchisee is responsible for paying The Standardx's current comfort letter fee for each negotiated letter related to the hotel. Additionally, The Standardx can request the franchisee to have each Comfort Letter Party sign and deliver an estoppel, confirming the status of their contractual relationship with the Comfort Letter Party. This process helps The Standardx maintain standards and continuity across its franchised hotels, even during changes in ownership or control.
