What is the primary condition for The Standardx to pay contingent consideration in the Bahia Principe acquisition?
The_Standardx Franchise · 2025 FDDAnswer from 2025 FDD Document
Bahia Principe—During the year ended December 31, 2024, we completed the Bahia Principe Transaction (see Note 4) for €419 million of base consideration, subject to customary adjustments related to working capital, cash, and indebtedness, and including €60 million of deferred consideration payable at future dates. We may pay additional variable contingent consideration through 2034 primarily related to the achievement of certain milestones for the development of additional hotels to be managed by the joint venture. The contingent consideration is payable at each hotel opening and is based on a multiple of stabilized base and incentive management fee revenues, and therefore, we are unable to reasonably estimate our maximum potential future consideration.

What This Means (2025 FDD)
According to The Standardx's 2025 Franchise Disclosure Document, the company may pay additional variable contingent consideration through 2034 primarily related to the achievement of certain milestones for the development of additional hotels to be managed by the joint venture in the Bahia Principe acquisition. The contingent consideration is payable at each hotel opening and is based on a multiple of stabilized base and incentive management fee revenues.
This means that The Standardx's obligation to pay additional consideration to the previous owners of Bahia Principe depends on the successful development and opening of new hotels under the Bahia Principe brand. The amount of the payment is tied to the revenue generated by these hotels, specifically the stabilized base and incentive management fees. The payments could continue until 2034, suggesting a long-term commitment to expanding the Bahia Principe hotel network.
For a prospective franchisee, this information provides insight into The Standardx's growth strategy and its financial commitments related to acquisitions. While franchisees may not directly benefit from these contingent payments, the expansion of the Bahia Principe brand could lead to increased brand recognition and potentially more customers for The Standardx's broader network of hotels and services. However, the FDD states that The Standardx is unable to reasonably estimate their maximum potential future consideration.
