Is The Standardx Owner allowed to assign or transfer the agreement without Hyatt's consent?

According to The Standardx's 2025 Franchise Disclosure Document, the owner is generally prohibited from assigning or transferring the agreement without prior written consent from Hyatt. Specifically, the agreement states that the owner "may not assign or transfer this Agreement or its rights and obligations hereunder, without the prior written consent of Hyatt." Any attempt to do so without this consent will be considered null and void.

However, there are exceptions to this rule. An individual owner can transfer their interest in The Standardx franchise to a trust or other entity established for estate planning purposes without Hyatt's prior written consent, provided that the owner remains a trustee or controls the rights within the franchise. The owner must also continue to comply with the agreement's provisions and notify Hyatt in writing at least ten days before the transfer's effective date. Additionally, owners can pledge their ownership interests in a Non-Controlling Owner to a lender without needing Hyatt's prior approval.

Even if Hyatt does not exercise its right of first offer, a proposed transfer must still comply with the conditions outlined in Article XII of the agreement. This means that even if Hyatt waives its right to first offer, The Standardx owner cannot proceed with the transfer if it violates any other terms within Article XII. Hyatt also retains the right to transfer or assign the agreement without notice or consent from the franchisee.
