Pursuant to Minn. Stat. §80C.21 and Minn. Rule Part 2860.4400J, these sections shall not in any way abrogate or reduce franchisee's rights as provided for in Minnesota Statutes 1984, Chapter 80C., including, subject to the parties' arbitration obligation, the right to submit matters to the jurisdiction of the courts of Minnesota.

However, Minnesota law provides that no action may be commenced under Minn. Stat. Sec. 80C.17 more than three (3) years after the cause of action accrues.

What This Means (2025 FDD)

According to The Standardx's 2025 Franchise Disclosure Document, a Rider to the Hyatt Franchising, L.L.C. Confidentiality Agreement for use in Minnesota specifies the Minnesota Statutes that protect the rights of franchisees. Specifically, Minn. Stat. §80C.21 and Minn. Rule Part 2860.4400J ensure that the franchisee's rights, as provided for in Minnesota Statutes 1984, Chapter 80C, are not reduced or abrogated. This includes the right to submit matters to the jurisdiction of the Minnesota courts. This protection is included in both the Rider to the Confidentiality Agreement and the Rider to the Franchise Agreement.

This means that despite any clauses in the Confidentiality Agreement, The Standardx franchisees in Minnesota retain all rights granted to them under Minnesota Statutes 1984, Chapter 80C. These rights are legally protected and cannot be diminished by the terms of the agreement. This provision also ensures that Minnesota franchisees have the right to bring disputes before Minnesota courts, subject to any obligations to arbitrate.

Additionally, Minnesota law dictates that no action can be initiated under Minn. Stat. Sec. 80C.17 more than three years after the cause of action accrues. This statute of limitations sets a deadline for franchisees to bring legal claims, meaning franchisees must be aware of this time constraint when considering legal action.
