There are no effective material determinations of, or pending material proceedings before, the PTO, the United States Copyright Office, or any court involving the Copyrighted Materials. We do not know of any infringement of the Copyrighted Materials that could materially affect you. No agreement significantly limits our right to use or license the Copyrighted Materials.

What This Means (2025 FDD)

According to The Standardx's 2025 Franchise Disclosure Document, The Standardx states that it does not know of any copyright infringements that could materially affect a franchisee. The FDD also states that there are no effective material determinations of, or pending material proceedings before, the PTO, the United States Copyright Office, or any court involving the Copyrighted Materials. Additionally, no agreement significantly limits The Standardx's right to use or license the Copyrighted Materials.

However, if a franchisee becomes aware of any potential infringement or challenge to the use of The Standardx's copyrighted materials, the franchisee must immediately notify The Standardx. The franchisee is not allowed to communicate with any other party regarding the infringement, challenge, or claim, except for their own attorneys, and The Standardx's attorneys and affiliates. The Standardx has the sole right to decide what action to take, including no action, and will control any litigation or administrative proceedings. The franchisee is required to sign documents and take reasonable actions deemed necessary by The Standardx's attorneys to protect The Standardx's interests in the copyrighted materials. The Standardx will reimburse the franchisee's reasonable out-of-pocket costs for taking any requested action.

It is important to note that The Standardx is not obligated to participate in the franchisee's defense or indemnify them for damages and expenses if the franchisee is involved in any administrative or judicial proceeding related to the copyrighted materials, especially if the proceeding is resolved unfavorably to the franchisee. The Standardx has the right to direct the franchisee to modify or discontinue using any of the copyrighted materials, or to use substitute copyrighted items, at any time, and the franchisee must comply immediately with these directions.
