What expenses are included within the overhead of The Standardx?

The_Standardx Franchise · 2025 FDD

Answer from 2025 FDD Document

Within overhead, we include unallocated corporate expenses.

During the year ended December 31, 2024, we revised our definition of Adjusted EBITDA to exclude transaction and integration costs (see Note 1), and we recast prior-period results to provide comparability. The revised definition excludes integration costs, which were recognized in integration costs during the three months ended March 31, 2024 and transaction costs, which were recognized in general and administrative expenses during the three months ended March 31, 2024.

What This Means (2025 FDD)

According to The Standardx's 2025 Franchise Disclosure Document, overhead includes unallocated corporate expenses. The FDD also provides data on unallocated overhead expenses for the years 2022, 2023 and 2024.

Specifically, the table shows unallocated overhead expenses of $(170) in 2022, $(177) in 2023, and $(160) in 2024. These figures represent subtractions from the Segment Adjusted EBITDA, indicating that these overhead expenses reduce the overall profitability when calculating adjusted earnings before interest, taxes, depreciation, and amortization.

For a prospective franchisee, understanding what constitutes these 'unallocated corporate expenses' is crucial. While the FDD specifies that these are included within overhead, it does not detail the specific types of expenses that fall into this category. Therefore, it would be prudent for a potential franchisee to seek clarification from The Standardx regarding the nature of these unallocated expenses to better assess the overall financial health and operational costs associated with the franchise.
