What does The Standardx's acquisition of Bahia Principe contemplate regarding future management?
The_Standardx Franchise · 2025 FDDAnswer from 2025 FDD Document
The acquisition includes management and hotel services agreements for operating hotels and the Bahia Principe trade name. In addition, the acquisition contemplates the future management of undeveloped Bahia Principe Hotels & Resortsbranded properties. For the period from the acquisition date through December 31, 2024, total revenues and net income attributable to Bahia Principe were insignificant.
Our consolidated balance sheet at December 31, 2024 reflects preliminary estimates of the fair value of the assets acquired, liabilities assumed, and noncontrolling interest in the entity based on available information as of the acquisition date. The fair values of intangible assets acquired were estimated using either discounted future cash flow models or the relief from royalty method, both of which include revenue projections based on the expected contract terms and long-term growth rates, which are primarily Level Three assumptions. The fair value of the noncontrolling interest related to the equity interests in the VIE held by our venture partner was estimated based on 50% of enterprise value of the entity. The remaining assets and liabilities were recorded at their carrying values, which approximate their fair values.

What This Means (2025 FDD)
According to The Standardx's 2025 Franchise Disclosure Document, the acquisition of Bahia Principe includes not only current management and hotel service agreements, but also considers the future management of Bahia Principe Hotels & Resorts-branded properties that are currently undeveloped. This indicates that The Standardx intends to expand the Bahia Principe brand by managing both existing and future hotel locations.
For a prospective The Standardx franchisee, this acquisition means potential opportunities to be involved with the Bahia Principe brand. The Standardx's focus on managing future undeveloped properties suggests a long-term growth strategy. This could translate into more locations and potentially increased brand recognition, which could benefit franchisees.
However, the FDD also notes that the total revenues and net income attributable to Bahia Principe were insignificant for the period from the acquisition date through December 31, 2024. This could mean that the brand is still in the early stages of integration or that it may take some time before the acquisition yields significant financial results. Prospective franchisees should carefully consider the financial performance of Bahia Principe and The Standardx's plans for improving its profitability.
In conjunction with the Bahia Principe transaction, The Standardx entered into agreements to provide commercial and management support services to support the growth of the Bahia Principe brand and the operation of Bahia Principe Hotels & Resorts-branded properties. This shows The Standardx's commitment to supporting the brand and its properties, which could be a positive sign for potential franchisees.
