What section of the Springhill Suites By Marriott agreement is modified by Exhibit C?

According to the 2025 Springhill Suites By Marriott Franchise Disclosure Document, Exhibit C modifies the agreement to allow the hotel to continue operating as a System Hotel. This modification is tied to renovations outlined in Exhibit C and Section 4.4 of the agreement.

For a change of ownership, Exhibit C modifies the Franchise Agreement, changing references to "Relicensing Franchise Agreement" and removing terms like "Chain Acquisition," "Construction Start Deadline," "Opening Deadline," and "Restricted Territory" from Exhibit B.

For conversions, Exhibit C includes a property improvement plan (PIP) as Attachment Three, detailing the renovations required for the hotel to become a System Hotel. These renovations must be completed by the Opening Date, adhering to the current System specifications. If any material changes occur after the date in Item 19 of Exhibit A, Springhill Suites By Marriott may conduct a Material Change Review and modify the PIP accordingly, with the franchisee responsible for completing the updated PIP to Springhill Suites By Marriott's satisfaction.
