According to the 2025 Springhill Suites By Marriott Franchise Disclosure Document, franchisees have specific obligations regarding the confidentiality of certain information. Springhill Suites By Marriott considers all standards and documents created or approved for use in the SpringHill Suites by Marriott system, the negotiated terms in the franchise agreement, software and related documentation, customer lists, loyalty program information, and any other confidential knowledge concerning the Springhill Suites By Marriott system as "Confidential Information".
A Springhill Suites By Marriott franchisee is explicitly prohibited from copying, reproducing, making available to anyone, or using the Confidential Information for any purpose other than operating their hotel under the franchise agreement without prior consent from Springhill Suites By Marriott. However, the franchisee may divulge Confidential Information to their employees or agents who require access to it to operate the hotel.
Before disclosing any Confidential Information to employees or agents, the Springhill Suites By Marriott franchisee must advise them that the information is confidential and that they are obligated to maintain its confidentiality. This obligation extends beyond the expiration or termination of the franchise agreement, and the franchisee is liable for any breaches of confidentiality by their employees and agents. These confidentiality provisions also apply to the franchisee's residences.
