2. PREMISES, CONVERSION OR CONSTRUCTION OBLIGATIONS AND OPENING OF YOUR HOTEL.
A. Generally. You may operate your Hotel only at the Premises. You have selected the site for the Premises. You must cause your Hotel to meet the mandatory specifications, standards, operating procedures, and rules (the "Brand Standards") that we prescribe for equipping, furnishing, supplying, and maintaining Brand Hotels in accordance with this Agreement.
Our acceptance of the Premises indicates only that we believe that the site meets our current acceptable criteria, which have been established for our own purposes. Applying criteria that have appeared effective with other sites and premises might not accurately reflect the potential for all sites and
premises, and demographic or other factors included in or excluded from our criteria could change, even after our approval of the Premises or, if applicable, your conversion of your existing hotel to a Brand Hotel, altering the potential of a site and premises.

To maintain operational efficiency, franchisees must not operate using more than one Property Management System or Revenue Management System. All Online Travel Agencies (OTAs) and other distribution channels must connect to Sonesta Simply Suites's Central Reservation System, or through the franchisee's authorized Property Management System if direct connectivity isn't available, unless Sonesta Simply Suites provides alternative directions or approvals in writing. This requirement ensures that all booking and revenue management processes are integrated and aligned with Sonesta Simply Suites's overall system.
Before opening, Sonesta Simply Suites requires that the franchisee meet several conditions to ensure the hotel is ready to operate efficiently and in compliance with brand standards. These conditions include written notification from Sonesta Simply Suites that the hotel meets Brand Standards and specifications, obtaining all applicable licenses and permits, complying with training and brand introduction requirements, hiring and training staff to protect the Marks in compliance with the Brand Standards, completing all development obligations specified in the relevant exhibits, installing the Computer System to Sonesta Simply Suites's standards, paying the Initial Fee in full, and providing all requested documentation, including certificates for required insurance policies. These pre-opening requirements are designed to set the franchisee up for success and ensure that the hotel operates efficiently from day one.
