What This Means (2025 FDD)

According to the 2025 Sonesta Simply Suites Franchise Disclosure Document, several qualifications must be met by a transferee to gain approval for a franchise transfer. The existing franchisee must be current on all payments, including royalties, brand promotion fees, and other owed amounts, and must have submitted all required reports and statements. Furthermore, the franchisee must not have violated any provision of the Franchise Agreement, their Lease, or any other agreement with Sonesta Simply Suites during the 60-day period before requesting consent for the transfer and continuing up to the effective date of the transfer. The franchisee also cannot have received a notice of termination from Sonesta Simply Suites.

The transferee, including its owners and affiliates, must not hold any ownership interest in or perform services for a Competitive Business. The current franchisee is required to provide Sonesta Simply Suites with all requested information and documents about the proposed transfer, the transferee, and its owners. The transferee must also satisfactorily complete any training, brand introduction, or orientation program that Sonesta Simply Suites requires at the time of the transfer. If applicable, the landlord must consent to the transfer or sublease of the Lease.

Additionally, the transferee must agree to meet with Sonesta Simply Suites, either virtually or in person, to inspect the premises and develop a Property Improvement Plan (PIP) for necessary upgrades, remodeling, and refurbishment of the hotel, including FF&E (furniture, fixtures, and equipment). This renovation work must be completed within 120 days after the effective date of the transfer, adhering to Sonesta Simply Suites' then-current brand standards. At Sonesta Simply Suites' request, the transferee must sign the then-current form of franchise agreement and related documents, which may differ materially from the original Franchise Agreement. The transferee must also meet the qualifications then imposed on new franchisees and pay the transfer fee. Finally, the current franchisee and their owners must sign a general release, and the franchisee must cease identifying themselves as a current or former franchisee.
