18. NOTICES AND PAYMENTS.
All written notices and notices permitted or required to be delivered by this Agreement or the Brand Manual will be deemed to be delivered on the earlier of the date of actual delivery or one of the following:
- (a) at the time delivered by hand;
- (b) at the time delivered via computer transmission (provided the sender obtains a read receipt from the recipient) and, in the case of the Royalty, Brand Promotion Fee, and other amounts due, at the time we actually receive payment;
- (c) one business day after being placed in the hands of a nationally recognized commercial courier service for next business day delivery; or
- (d) three business days after placement in the United States Mail by Registered or Certified Mail, Return Receipt Requested, postage prepaid.
Notices must be addressed to the party to be notified at its most current principal business address of which the notifying party has notice (which address may not be a P.O. Box). If to us, initially it shall be at the address set forth in the introductory paragraph, to the attention of Asst. General Counsel – Franchise.
