What This Means (2025 FDD)
According to Sonesta Simply Suites' 2025 Franchise Disclosure Document, upon the expiration or termination of the Franchise Agreement, you must provide evidence satisfactory to Sonesta Simply Suites that you have complied with your de-identification obligations. This evidence must be provided within 30 days after the agreement's expiration or termination.
The de-identification obligations include several key actions. You must cease all use of any Sonesta Simply Suites marks or any similar imitations. You must also avoid identifying yourself as a current or former franchisee, and you need to cancel any registrations related to the use of Sonesta Simply Suites' marks. Additionally, you are required to deliver or destroy all signs, marketing materials, forms, and other materials containing any mark or otherwise identifying or relating to a Brand Hotel, including copies of all Confidential Information. You must also make alterations specified by Sonesta Simply Suites to distinguish your hotel from its former appearance and from other Brand Hotels.
Furthermore, you must cease using and either disable or transfer control of any online presence to Sonesta Simply Suites. Compliance with all other brand standards related to the closure and de-identification of your hotel, including the disposal of personal information, is also required. Failing to meet these obligations within 30 days allows Sonesta Simply Suites to enter your hotel premises to complete the de-identification process at your expense, with a penalty of $500 for each day of non-compliance. If you are selling your hotel to a third party who will not operate it as a Sonesta Simply Suites, you must complete all de-identification obligations immediately prior to closing the sale.
It is important for prospective franchisees to understand these post-termination requirements, as failure to comply can result in financial penalties and legal action from Sonesta Simply Suites. Ensuring that all de-identification steps are completed and documented within the specified timeframe is crucial for a smooth transition and to avoid any potential disputes.
