What This Means (2025 FDD)
According to Sonesta Simply Suites's 2025 Franchise Disclosure Document, a franchisee needs to meet several conditions to get approval for a franchise transfer. These conditions ensure that the brand maintains its standards and that the new franchisee is capable of operating the business successfully.
Specifically, the franchisee must have paid all royalties, brand promotion fees, and other owed amounts, and have submitted all required reports and statements. They must not have violated any provision of the Franchise Agreement, their Lease, or any other agreement with Sonesta Simply Suites during the 60-day period before requesting consent for the transfer and the period between the request and the effective date of the transfer. Additionally, they must not have received a notice of termination from Sonesta Simply Suites.
The potential new franchisee must not have an ownership interest in or perform services for a Competitive Business. The franchisee needs to provide all requested information about the proposed transfer, the transferee, and its owners. The transferee must also complete any required training, brand introduction, or orientation program. If applicable, the landlord must consent to the transfer or sublease of the Lease. The transferee must agree to meet with Sonesta Simply Suites to inspect the premises and develop a Property Improvement Plan (PIP) for necessary upgrades, remodeling, and refurbishment, completing the renovation within 120 days after the transfer. The transferee may also be required to sign the then-current form of the franchise agreement, meet the qualifications imposed on new franchisees, pay a transfer fee, and both the franchisee and their owners must sign a general release. Finally, the franchisee must cease identifying themselves as a current or former franchisee.
