C. Conditions for Approval of Transfer. If you (and your owners) are in full compliance with this Agreement, then you may request our consent to a proposed transfer. We will give your request reasonable consideration but may condition our consent on compliance with certain requirements, including the following:
- (5) the transferee completes to our satisfaction any training, brand introduction and/or orientation program that we require at the time of the transfer;

What This Means (2025 FDD)
According to the 2025 FDD, a transferee seeking to acquire a Sonesta Select Sonesta Essential franchise must complete a training, brand introduction, and/or orientation program to the satisfaction of Sonesta Select Sonesta Essential.
This requirement is one of several conditions that Sonesta Select Sonesta Essential may impose before consenting to the transfer of a franchise agreement. Other conditions include ensuring all payments and reports are up to date, resolving any existing violations of agreements, confirming the transferee is not involved with a competitive business, and receiving all requested information about the transfer and transferee. The transferee may also be required to meet with Sonesta Select Sonesta Essential to inspect the premises and develop a plan for upgrades and renovations, which must be completed within 120 days of the transfer.
Additionally, Sonesta Select Sonesta Essential may request the transferee to sign the then-current form of the franchise agreement, which could have materially different provisions from the original agreement. This ensures that the new franchisee is fully aligned with Sonesta Select Sonesta Essential's current standards and practices.
