- C. New Construction. If you are constructing a new Brand Hotel, you will execute the New Construction Rider, attached hereto as Exhibit D-2, simultaneously with this Agreement.
- D. Technology Standards & Computer System. You will purchase or license, install, utilize, and maintain at your Hotel, at your sole cost, and at then-current pricing or fees as provided by us or the applicable third-party provider, all software, hardware, services, and equipment that we or our affiliates license, sell to, or require you to purchase or lease in operation of your Hotel (the "Computer System"). "Computer System" shall include any data processing systems specified or required by us or our affiliates for use by Brand Hotels, including, but not limited to, guest check-in, reservation (the "Central Reservation System"), property management (the "Property Management System"), revenue management (the "Revenue Management System") or other statistical reporting systems. You will pay a one-time reservation implementation fee ranging from $650 to $1,745 upon your Hotel becoming active in the Central Reservation System which is charged by our third-party Central Reservation System provider but invoiced and collected by us. You will be responsible for all costs incurred in fulfilling your obligations hereunder, including, without limitation, costs and fees for data circuit charges, and supplies used in the operation and maintenance of the Computer System. You also agree to maintain all specified points of high-speed Internet connection. You agree to make Wi-Fi and an in-room entertainment system available to your Hotel's guests, free of charge to them and to install, subject to our specifications, a branded internet landing page for your guests' access to Wi-Fi. What This Means (2025 FDD)
According to Sonesta Select Sonesta Essential's 2025 Franchise Disclosure Document, franchisees must purchase, install, utilize, and maintain specific software, hardware, services, and equipment, collectively known as the "Computer System," at their own expense. This includes any data processing systems required by Sonesta Select Sonesta Essential for operations such as guest check-in, reservations through the Central Reservation System, property management via the Property Management System, revenue management, and other statistical reporting systems. Upon a hotel becoming active in the Central Reservation System, a one-time reservation implementation fee ranging from $650 to $1,745 is charged by Sonesta Select Sonesta Essential's third-party provider.
Franchisees are responsible for all costs associated with the Computer System, including data circuit charges and supplies. They must also maintain specified high-speed internet connections and offer complimentary Wi-Fi and an in-room entertainment system to guests. Additionally, franchisees need to install a branded internet landing page for guest Wi-Fi access, adhering to Sonesta Select Sonesta Essential's specifications.
Sonesta Select Sonesta Essential reserves the right to modify the specifications and components of the Computer System, which may require franchisees to purchase, lease, or license new or modified hardware or software, as well as obtain necessary service and support. Franchisees are obligated to implement these changes within 60 days of notification and ensure their Computer System meets brand standards and functions properly at all times. Sonesta Select Sonesta Essential is not liable for any downtime or failures of third-party software, hardware, services, or equipment. Franchisees may also be required to sign a software license agreement and pay monthly fees for proprietary software or technology licensed by Sonesta Select Sonesta Essential.
