- Background. This Agreement is annexed to and forms part of the Franchise Agreement. Capitalized terms used, but not defined, herein shall have the meanings given to them in the Franchise Agreement. This Agreement is being signed because we, through a third party vendor, offer certain voice reservation and auto attendant services (collectively, the "Services") under which prospective guests inquiring about reservations may have their calls handled by reservation agents ("Agents") who will book reservations and respond to reservationrelated questions on your behalf at the centralized call center (the "Call Center"). You agree to participate in the Services with respect to the Hotel, subject to the terms and conditions of this Agreement.

What This Means (2025 FDD)
According to the 2025 Franchise Disclosure Document, Sonesta Select Sonesta Essential, through a third-party vendor, offers voice reservation and auto attendant services, referred to as the "Services." These services involve reservation agents who handle reservation-related calls on behalf of the franchisee's hotel. The agents book reservations and respond to inquiries at a centralized call center.
Sonesta Select Sonesta Essential will provide a dedicated telephone number for the hotel to connect to these services, with callers able to select an option for new reservation inquiries, which are then directed to the call center. It is important to note that Sonesta Select Sonesta Essential retains ownership of this telephone number, and the franchisee must discontinue its use upon termination of the agreement. The franchisee is also restricted from using the number in advertising or on websites without prior written approval from Sonesta Select Sonesta Essential.
Sonesta Select Sonesta Essential reserves the right to cancel, amend, or replace the Services at its discretion, providing thirty days' written notice. Franchisees are charged $4.00 for each call received by the Call Center, with payments made alongside monthly franchise fees. This fee is subject to adjustment no more than once per year. Franchisees are responsible for costs associated with implementing the Services, such as configuring their private branch exchange. A failure to pay the monthly fees for these services constitutes a material default under the Franchise Agreement.
To facilitate these services, franchisees must provide necessary information about their hotel, including descriptions, addresses, inventory, and amenities, to maintain an accurate profile in Sonesta Select Sonesta Essential's central reservations system. Franchisees authorize Sonesta Select Sonesta Essential to access their room rates, inventory, and other hotel information required to offer the Services. They must also maintain an additional phone line that routes directly to the front desk and provide any required documentation, such as a letter of agency and details of their private branch exchange support vendor. Franchisees must also provide a primary contact person for the hotel to assist with the setup and testing of the Services.
