What This Means (2025 FDD)

According to Sonesta Select Sonesta Essential's 2025 Franchise Disclosure Document, franchisees must demonstrate their right to possess the hotel premises without undue restrictions. Specifically, franchisees must provide either a deed proving ownership or a lease that allows them to enter into the Franchise Agreement. This documentation must be submitted before construction begins or, for conversions, prior to the opening date, but no later than 30 days after the Franchise Agreement's effective date. Failure to provide this documentation may result in the termination of the Franchise Agreement.

Throughout the term of the Franchise Agreement, the franchisee must maintain the right to possess the premises and operate the hotel without restrictions that would interfere with their obligations under the agreement. A permissible exception to this is the reasonable requirements of any financing secured by the hotel. Franchisees are required to provide copies of all documents reflecting their right to possess the premises upon request and must also submit any modifications to their lease agreements within five days of execution.

These stipulations ensure that Sonesta Select Sonesta Essential franchisees have secure and unencumbered rights to operate their hotels, protecting both the franchisee's investment and the integrity of the Sonesta Select Sonesta Essential brand. By requiring franchisees to maintain control of the premises, Sonesta Select Sonesta Essential aims to minimize potential disruptions to hotel operations and maintain consistent brand standards.
