Does the Note for Sonesta Select Sonesta Essential modify or replace any other rights under the Agreement?

According to the 2025 Franchise Disclosure Document, the Note associated with the Sonesta Select Sonesta Essential franchise agreement is not intended to be exhaustive and does not set forth all of the Holder's rights. Specifically, the Note does not modify, replace, or affect any other rights, default or termination notices under the Franchise Agreement, or any other agreement with the Holder regarding the Maker's Hotel.

Furthermore, the Holder retains all legal and equitable rights and remedies, including the right to specify additional defaults, and does not waive any rights unless explicitly stated in writing. This means that Sonesta Select Sonesta Essential retains the ability to enforce all provisions of the Franchise Agreement, even with the existence of the Note.
