What This Means (2025 FDD)
According to the 2025 Sonesta Select Sonesta Essential Franchise Disclosure Document, the Rider is an integral part of the Franchise Agreement. Specifically, the Rider is annexed to and forms a part of the Franchise Agreement. The document indicates that the Rider is signed concurrently with the Franchise Agreement, solidifying its role as a supplement to the main contract.
The FDD includes state-specific riders, such as those for Illinois, Washington, Maryland, Minnesota and Virginia. These riders address specific legal requirements or clarifications pertinent to those states. For example, the Rider for use in Washington is signed because (a) Franchisee is domiciled in the State of Washington; and/or (b) the Hotel that Franchisee will operate under the Franchise Agreement will be located in Washington; and/or (c) any of the offering or sales activity relating to the Franchise Agreement occurred in Washington.
For prospective Sonesta Select Sonesta Essential franchisees, it's crucial to understand that the Franchise Agreement and the Rider are legally interconnected. Franchisees should carefully review both documents together to fully understand their rights and obligations. The Rider may modify or add to the terms of the Franchise Agreement, particularly concerning state-specific legal requirements. Therefore, understanding the interplay between these documents is essential for compliance and risk management.
