RECITALS
- A.
We and our affiliates have developed a system for the operation of select service, upscale hotels offering high quality hotel services, and related products and services authorized by us from time to time known either as Sonesta Select Hotels or Sonesta Essential Hotels.
The franchise concept under which you will operate your hotel is identified on Exhibit A as the "Designated Brand Concept." If your Designated Brand Concept is Sonesta Select Hotels, as used herein "Brand Hotels" refers to Sonesta Select -branded hotels, and if your Designated Brand Concept is Sonesta Essential Hotels, as used herein "Brand Hotels" refers to Sonesta Essential -branded hotels.

We and our affiliates use, promote, and license others to use and promote certain trademarks, service marks, and other commercial symbols in operating Brand Hotels and may create, use, and license other trademarks, service marks, and commercial symbols to identify Brand Hotels and the products and services they offer (collectively, the "Marks").
If your Designated Brand Concept is Sonesta Select Hotels, as used herein the "Marks" includes the Sonesta Select® Hotels marks, and if your Designated Brand Concept is Sonesta Essential, as used herein the "Marks" includes the Sonesta EssentialTM Hotels marks.

We grant to persons who we determine satisfactorily meet our qualifications, and who confirm their willingness to undertake the investment and effort, a franchise to own and operate a Brand Hotel offering the products and services we authorize and using our and our affiliates' distinct business formats, methods, procedures, signs, designs, layouts, standards, specifications, and Marks (the "Franchise System"), which we may improve, further develop, or modify.

However, you will not open your Hotel unless and until you receive our written authorization to do so.
We will only authorize your Hotel to open when we, at our sole discretion, are satisfied that you have complied with all the terms and conditions set forth in the Franchise Agreement, including but not limited to Section 2.E, and this Rider.
Opening your Hotel before we authorize you to open will constitute unauthorized use of the Marks and a material breach of the Franchise Agreement.
If you open your Hotel prior to our authorization, you agree to pay to us damages as set forth in Section 14.G(3) of the Franchise Agreement.

What This Means (2025 FDD)
Based on the 2025 Franchise Disclosure Document, Sonesta Select Sonesta Essential grants a franchise to individuals who meet their qualifications and are willing to invest the necessary resources to own and operate a Brand Hotel. This franchise allows them to offer authorized products and services using Sonesta Select Sonesta Essential's business formats, methods, procedures, signs, designs, layouts, standards, specifications, and Marks. The franchisee operates under the 'Franchise System,' which Sonesta Select Sonesta Essential may improve, further develop, or modify.
The franchisee is identified in the Collateral Assignment as the 'Franchisee' and is granted the right to operate either a Sonesta Select Hotel or a Sonesta Essential Hotel, depending on the applicable box checked in the agreement. The hotel's location is specified as the 'Hotel Premises.'
To identify the hotel, franchisees must use the Marks, which include Sonesta Select® Hotels marks for Sonesta Select Hotels and Sonesta Essential™ Hotels marks for Sonesta Essential Hotels. Unauthorized use of these marks, such as opening the hotel before receiving written authorization, constitutes a material breach of the Franchise Agreement and results in damages as specified in Section 14.G(3) of the Franchise Agreement.
