What This Means (2025 FDD)
According to the 2025 FDD, Sonesta Select Sonesta Essential provides the franchisee with a copy of the Brand Manuals, which includes standards for equipment, supplies, advertising materials, and other products and services used at the hotel. The franchisee is responsible for training their own employees using this manual.
The FDD also states that if the franchisee elects to obtain a Management Company, Sonesta Select Sonesta Essential must consent to the Management Company and the agreement between the franchisee and the Management Company. This suggests that the Brand Manual could potentially be shared with an approved Management Company, as they would need to understand the brand standards to manage the hotel effectively.
However, Item 23 of the FDD discusses the confidentiality of the Franchise Agreement, stating that the franchisee parties shall not provide or disclose to any third party information regarding the existence of the agreement, its terms, or any dealings with Sonesta Select Sonesta Essential, unless authorized in writing. While this clause refers specifically to the Franchise Agreement, it highlights the importance of maintaining confidentiality and seeking written authorization before disclosing sensitive information. Therefore, while the Brand Manual is used for training and potentially shared with an approved Management Company, franchisees should clarify with Sonesta Select Sonesta Essential the extent to which they can share the Brand Manual with other parties to ensure compliance with confidentiality requirements.
