What This Means (2025 FDD)
According to Sonesta Select Sonesta Essential's 2025 Franchise Disclosure Document, a non-curable default under the Franchise Agreement includes several scenarios related to financial stability, legal compliance, operational standards, and brand integrity. These defaults, outlined in Sections 14.B and 16.B of the Franchise Agreement (Exhibit D-1 and D-2), do not offer an opportunity for the franchisee to rectify the situation, leading to potential termination of the agreement.
Specifically, non-curable defaults include failing to pay amounts owed to Sonesta Select Sonesta Essential (or its affiliates) and not correcting the failure within ten days of written notice, failing to pay debts as they become due, filing for bankruptcy, becoming insolvent, or being placed in receivership. Allowing an attachment to remain on the Hotel or its assets for 30 days, failing to discharge a judgment exceeding $100,000 within specified timeframes, or failing to maintain possession of the Hotel also constitute non-curable defaults.
Further, failing to meet construction or renovation deadlines, not opening the Hotel by the Opening Date, ceasing to identify the Hotel as a Brand Hotel, or contesting Sonesta Select Sonesta Essential's ownership of the Marks are considered non-curable defaults. Dishonest behavior, unauthorized use of confidential information, failure to pay taxes, becoming a Competitive Business, engaging in an unauthorized transfer, and failure to maintain required insurance also fall under this category. Additionally, any action that could adversely affect Sonesta Select Sonesta Essential's gaming licenses or reputation, posing an imminent danger to public health or safety, or violating laws without correction within 72 hours after notice are non-curable defaults. A guarantor breaching their guaranty also constitutes a non-curable default.
Finally, engaging in the same noncompliance within a 24-month period or breaching the Franchise Agreement on three or more occasions within a 12-month period, regardless of whether the defaults are cured, are also non-curable. If the Hotel is damaged and the franchisee fails to complete restoration within 180 days, Sonesta Select Sonesta Essential may terminate the agreement. These stipulations highlight the critical importance of financial stability, operational adherence, and legal compliance for franchisees to maintain their agreement with Sonesta Select Sonesta Essential.
