- C. New Construction. If you are constructing a new Brand Hotel, you will execute the New Construction Rider, attached hereto as Exhibit D-2, simultaneously with this Agreement.
- D. Technology Standards & Computer System. You will purchase or license, install, utilize, and maintain at your Hotel, at your sole cost, and at then-current pricing or fees as provided by us or the applicable third-party provider, all software, hardware, services, and equipment that we or our affiliates license, sell to, or require you to purchase or lease in operation of your Hotel (the "Computer System"). "Computer System" shall include any data processing systems specified or required by us or our affiliates for use by Brand Hotels, including, but not limited to, guest check-in, reservation (the "Central Reservation System"), property management (the "Property Management System"), revenue management (the "Revenue Management System") or other statistical reporting systems. You will pay a one-time reservation implementation fee ranging from $650 to $1,745 upon your Hotel becoming active in the Central Reservation System which is charged by our third-party Central Reservation System provider but invoiced and collected by us. You will be responsible for all costs incurred in fulfilling your obligations hereunder, including, without limitation, costs and fees for data circuit charges, and supplies used in the operation and maintenance of the Computer System. You also agree to maintain all specified points of high-speed Internet connection. You agree to make Wi-Fi and an in-room entertainment system available to your Hotel's guests, free of charge to them and to install, subject to our specifications, a branded internet landing page for your guests' access to Wi-Fi. What This Means (2025 FDD)
According to Sonesta Select Sonesta Essential's 2025 Franchise Disclosure Document, the Computer System encompasses all software, hardware, services, and equipment that Sonesta Select Sonesta Essential or its affiliates license, sell, or require franchisees to purchase or lease for hotel operations. The franchisee is responsible for the costs associated with purchasing, licensing, installing, utilizing, and maintaining the Computer System at their hotel. These costs are the franchisee's sole responsibility and are based on then-current pricing or fees set by Sonesta Select Sonesta Essential or third-party providers.
The Computer System includes data processing systems necessary for Brand Hotels, such as guest check-in, the Central Reservation System, the Property Management System, and the Revenue Management System, as well as other statistical reporting systems. Franchisees are also responsible for all costs related to data circuit charges and supplies used for the Computer System's operation and maintenance. Additionally, franchisees must maintain specified high-speed internet connections and provide complimentary Wi-Fi and in-room entertainment systems for guests, including a branded internet landing page.
Sonesta Select Sonesta Essential retains the right to modify the specifications and components of the Computer System, which may require franchisees to purchase, lease, or license new or modified computer hardware or software. Franchisees must also obtain the necessary service and support for the Computer System. Upon the Hotel becoming active in the Central Reservation System, the franchisee will pay a one-time reservation implementation fee ranging from $650 to $1,745, which is charged by Sonesta Select Sonesta Essential's third-party Central Reservation System provider but invoiced and collected by Sonesta Select Sonesta Essential.
