What This Means (2025 FDD)
According to Remax's 2025 Franchise Disclosure Document, a Remax member cannot assign or transfer the User Agreement without prior written consent from Remax. The User Agreement provides the member with a "personal, revocable, limited, non-exclusive, nontransferable, and (limited) non-sublicensable license to use MAX/Center." This license is not an assignment or sale, and Remax retains all rights not expressly granted in the agreement.
Remax reserves the right to assign the User Agreement to a corporate affiliate, subsidiary, or successor in interest at its sole discretion. In the event of such a transfer or assignment by Remax, the franchisee must recognize the new entity as the proper party for the performance of obligations under the agreement and must execute any documents deemed necessary to effectuate the transfer.
This condition protects Remax by ensuring that the individuals using their MAX/Center platform meet their standards and that Remax maintains control over who is authorized to use their resources. It also allows Remax to adapt to changes in their corporate structure by transferring the agreement to related entities without needing the franchisee's approval.
