Is Remax allowed to modify or change the systems, programs, or procedures that Remax requires franchisees to implement, and what are the potential cost implications for the franchisee?

Remax Franchise · 2025 FDD

Answer from 2025 FDD Document

You must implement any other specific systems, programs or procedures that we may establish from time to time to enhance our communications with you. You agree that we may require that certain goods, services, supplies, fixtures, equipment, inventory, and computer hardware and software relating to the Office's establishment or operation be purchased directly and/or exclusively from us, REMAX, LLC or from other suppliers as we may designate from time to time, including but not limited to a different back-office management software program, and you agree to adopt such goods, services, supplies, fixtures, equipment, and computer hardware and software within such time frame as we may specify or deem necessary. Such requirements will only apply to facilitate communications between you, REMAX Regional and/or REMAX, LLC—and REMAX Regional's or REMAX, LLC's related parties—and will not control or regulate the manner and means of your day-to-day operations. We reserve the right to modify, eliminate, supplement or change any systems, programs or procedures that we or our Related Parties may establish or that we require that you implement and utilize. You acknowledge that this may require you to incur additional costs.

What This Means (2025 FDD)

According to Remax's 2025 Franchise Disclosure Document, Remax has the authority to modify, eliminate, supplement, or change the systems, programs, or procedures that franchisees are required to implement and utilize. These modifications are intended to facilitate communication between the franchisee, Remax Regional, and/or Remax, LLC, and their related parties, without controlling the franchisee's day-to-day operations.

These changes may require franchisees to incur additional costs. For example, franchisees must maintain a computer system compatible with Remax's communication and data reporting requirements. Remax may modify the specifications for the computer system and related hardware and software, requiring franchisees to upgrade or update their systems at their own expense. This includes the cost of purchasing or leasing necessary computer hardware and software.

Furthermore, Remax, LLC reserves the right to modify or amend the Essential ICA Provisions, which become binding on Remax franchisees 60 days after notice of the change. While these provisions do not govern the day-to-day operations of the franchisee's office, they are designed to protect the Remax marks and associated goodwill. Franchisees are also required to implement any other specific systems, programs, or procedures that Remax may establish to enhance communications. These may involve purchasing goods, services, supplies, fixtures, equipment, and computer hardware and software directly or exclusively from Remax or designated suppliers.
