What This Means (2024 FDD)

According to the 2024 Red Wagon Club Franchise Disclosure Document, a franchisee is generally prohibited from profiting from Confidential Information related to the Red Wagon Club business. Confidential Information includes training and operations materials, system standards, marketing strategies, strategic plans, supplier information, proprietary software, operating results of other Red Wagon Club businesses, information generated by the franchisee's business, member information, criteria for supplier approval, and any other information designated as confidential by Red Wagon Club. This information is owned by the franchisor, and the franchisee only has the right to use it as specified by Red Wagon Club during the term of the franchise agreement.

The FDD specifies that franchisees, their owners, and employees cannot use Confidential Information in any other business, keep it confidential during and after the franchise term, avoid making unauthorized copies, implement procedures to prevent unauthorized use or disclosure, and refrain from selling, trading, or otherwise profiting from the Confidential Information.

However, there is an exception: a Red Wagon Club franchisee can profit from Confidential Information if they use methods approved by the franchisor. This implies that if Red Wagon Club explicitly approves a method for a franchisee to monetize Confidential Information, then it would be permissible. It is important for a prospective franchisee to seek clarity from Red Wagon Club regarding what methods, if any, are pre-approved or what process exists to request and obtain approval for specific monetization methods.
