Can Red Wagon Club revoke its approval of any supplier or product at any time?

According to Red Wagon Club's 2024 Franchise Disclosure Document, Red Wagon Club has the authority to revoke its approval of any supplier or product at any time. Red Wagon Club can do so with or without cause, provided they give written notice to the franchisee. Furthermore, Red Wagon Club may periodically reinspect the facilities, products, or services of any approved supplier. The approval of a supplier or product might only be temporary until Red Wagon Club has evaluated them more thoroughly.

This means that a Red Wagon Club franchisee could be required to switch suppliers or products with little notice. This could potentially disrupt their business operations and possibly increase costs if the new supplier's prices are higher. It is important to note that Red Wagon Club is not obligated to divulge their standards and specifications for products and services to franchisees or any supplier. However, they may make standards and specifications for certain items available primarily through the Operations Manual, and they may communicate standards and specifications to their approved suppliers from time to time.

If a franchisee wishes to use an alternative supplier, they must submit a written request for approval, including sufficient specifications and information about the proposed supplier. Red Wagon Club's criteria for approving suppliers are confidential and not made available to franchisees. Red Wagon Club will notify the franchisee in writing of the approval or rejection of the proposed supplier within 6 months of receiving all requested information. If Red Wagon Club fails to respond within 6 months, the request will be deemed denied. Even if a request is approved, Red Wagon Club may later revoke its approval if the supplier does not continue to meet their criteria.
