What This Means (2024 FDD)

According to the 2024 FDD, Red Wagon Club requires that each party involved in the License Agreement represents and warrants to the other that, as of the Effective Date, it is duly organized, validly existing, and in good standing under the laws of its state or jurisdiction. They must also have the full right, power, and authority to enter into the agreement and fulfill their obligations.

This means that Red Wagon Club represents itself as a legally established entity, properly registered and compliant with the laws governing its organization. Furthermore, Red Wagon Club represents that it has the legal capacity and authorization to enter into franchise agreements.

For a prospective franchisee, this representation provides assurance that Red Wagon Club is a legitimate business entity.
