What This Means (2024 FDD)
According to the 2024 Red Wagon Club Franchise Disclosure Document, the Red Wagon Club franchise is designed to operate separately from, but as a complement to, existing affiliated law firm businesses. The Red Wagon Club franchise offers non-legal membership-based services, such as social events and estate planning seminars, to clients who are members. These members have signed agreements with Red Wagon Club or its affiliate.
The Red Wagon Club franchisee enters into a sublicense agreement with the Affiliate Law Firm Business Owner, allowing the law firm to use Red Wagon Club's confidential information and intellectual property. This arrangement allows the law firm to enhance its services with the non-legal offerings of the Red Wagon Club. The franchisee's Red Wagon Club business does not include the existing law firm business.
This structure suggests that the Red Wagon Club franchise is intended to create a synergistic relationship with law firms, providing additional value to their clients through non-legal services while allowing the law firm to leverage the Red Wagon Club's resources. A prospective franchisee should understand the terms of the Sublicense Agreement and how it impacts their relationship with the affiliated law firm.
