We do not own any patents, pending patent applications, or registered copyrights that are material to the franchise. However, we and our affiliates claim copyrights in the Operations Manual (which contains our trade secrets), handbooks, the System Website, advertising and marketing materials, all or part of the Marks, and other portions of the System and other similar materials used in operating RWC Businesses. We have not registered these copyrights with the United States Registrar of Copyrights but need not do so
at this time to protect them. You may use these items only as we specify while operating your RWC Business (and must stop using them if we so direct you).
There currently are no effective adverse determinations of the United States Copyright Office (Library of Congress) or any court regarding the copyrighted materials. No agreement limits our right to use or allow others to use the Confidential Information (defined below) or copyrighted materials. We know of no infringing uses of our copyrights which could materially affect your using the copyrighted materials in any state. We need not protect or defend our copyrights, although we intend to do so if we determine that it is in the System's best interests. We may control any action involving the copyrights, even if you voluntarily bring the matter to our attention. We need not participate in your defense nor indemnify you for damages or expenses in a proceeding involving a copyright.

According to Red Wagon Club's 2024 Franchise Disclosure Document, Red Wagon Club does not own any registered copyrights that are material to the franchise. However, Red Wagon Club and its affiliates claim copyrights in several items, including the Operations Manual, handbooks, the System Website, advertising and marketing materials, all or part of the Marks, and other portions of the System and other similar materials used in operating RWC Businesses.
While these copyrights are not registered with the United States Registrar of Copyrights, Red Wagon Club believes registration is not currently necessary to protect them. As a franchisee, you are permitted to use these copyrighted items only as specified by Red Wagon Club while operating your Red Wagon Club Business, and you must cease using them if directed to do so.
The FDD states that there are no current adverse determinations from the United States Copyright Office or any court regarding these copyrighted materials, and no agreements limit Red Wagon Club's right to use or allow others to use the Confidential Information or copyrighted materials. Red Wagon Club is also not aware of any infringing uses of their copyrights that could materially affect a franchisee's use of the copyrighted materials. While Red Wagon Club is not obligated to protect or defend its copyrights, it intends to do so if it determines it is in the System's best interests and may control any action involving the copyrights, even if a franchisee brings the matter to their attention. Red Wagon Club is not required to participate in a franchisee's defense or indemnify them for damages or expenses in a proceeding involving a copyright.
