We grant you a non-exclusive license to use the Marks to operate your RWC Business, subject to the terms of your Franchise Agreement. You must at all times faithfully, honestly, and diligently promote the Marks in connection with operating your RWC Business. You may use the Marks only for your RWC Business, and only according to your Franchise Agreement and in accordance with System Standards. You have no right to sublicense or assign your right to use the Marks. You may not use any other trademarks, service marks or commercial symbols to identify or operate your RWC Business.
You must identify yourself as the independent owner of your RWC Business in the manner we prescribe. You may not use any Mark (1) as part of any corporate or legal business name; (2) with any prefix, suffix, or other modifying words, terms, designs, or symbols (other than logos we have licensed to you); (3) in selling any unauthorized services or products; (4) as part of Online Presence; (5) in advertising the transfer, sale, or other disposition of your RWC Business or an ownership interest in you; or (6) in any other manner that we have not expressly authorized in writing. You must give the notices of trademark registrations that we specify and to obtain any fictitious or assumed name registrations required under applicable law.

According to the 2024 Red Wagon Club Franchise Disclosure Document, franchisees are granted a non-exclusive license to use the Marks to operate their Red Wagon Club business, subject to the terms outlined in the Franchise Agreement. Franchisees must consistently promote the Marks honestly and diligently while operating their business. This use is strictly limited to the franchisee's Red Wagon Club business and must adhere to both the Franchise Agreement and System Standards.
The agreement explicitly prohibits franchisees from sublicensing or assigning their rights to use the Marks. Additionally, franchisees cannot use any other trademarks, service marks, or commercial symbols to identify or operate their Red Wagon Club business. They must identify themselves as the independent owners of their Red Wagon Club business in the manner prescribed by the franchisor.
Red Wagon Club franchisees are restricted from using the Marks in several ways, including as part of any corporate or legal business name, with unauthorized prefixes, suffixes, or modifications, in selling unauthorized services or products, as part of their Online Presence, or in advertising the transfer, sale, or disposition of their business. Any use of the Marks must be expressly authorized in writing by Red Wagon Club. Franchisees are also required to provide notices of trademark registrations as specified by Red Wagon Club and to obtain any necessary fictitious or assumed name registrations under applicable law.
