What This Means (2024 FDD)
According to the 2024 Red Wagon Club Franchise Disclosure Document, a licensee (an attorney operating a law firm) is granted a limited, non-exclusive, and non-transferrable right to use the Marks and Licensed Materials. This usage is strictly tied to the operation of the Licensee's Law Firm Business, and must adhere to the terms and conditions outlined in the agreement. The agreement explicitly states that the Marks and Licensed Materials cannot be used for any other purpose outside of the Law Firm Business. The franchisee must use the Licensed Materials without modification unless the franchisor provides written consent. The franchisor retains the right to modify the Marks and Licensed Materials at their discretion, and the franchisee is obligated to implement any changes immediately upon notification.
This agreement does not grant the licensee the right to sublicense the Marks or Licensed Materials to others. All rights, including goodwill and derivative works, associated with the Marks and Licensed Materials remain the exclusive property of Red Wagon Club. Any usage of these materials by the licensee must benefit the licensor. Upon termination of the agreement, all rights to the Marks and Licensed Materials immediately cease, and the licensee cannot claim any ownership or right to use them. The licensee must also assign any rights they might have created using the Marks or Licensed Materials to the franchisor.
This arrangement ensures that Red Wagon Club maintains strict control over its brand and intellectual property. The licensee's use of the Marks and Licensed Materials is specifically limited to their Law Firm Business, preventing any unauthorized or inconsistent use that could dilute the brand. The franchisee should be aware of these restrictions and ensure full compliance to avoid potential breaches of the agreement. Furthermore, the franchisee should seek written consent for any modifications to the Licensed Materials to ensure they remain within the bounds of the agreement.
