Red_Wagon_Club Franchise · 2024 FDDAnswer from 2024 FDD Document
You must notify us immediately of any apparent infringement or challenge to your use of any Mark, or of any person's claim of any rights in any Mark, and you may not communicate with any person other than us and our and our affiliates' attorneys, regarding any infringement, challenge or claim. We and/or RWC IP may take the action we deem appropriate and exclusively control any litigation or proceeding from the infringement, challenge or claim or otherwise concerning any Mark. You must sign the documents and take the actions that, in the opinion of our attorneys, are necessary or advisable to protect and maintain our interests in the Marks. We will reimburse you for all damages and expenses that you incur in responding to any trademark infringement proceeding disputing your use of any Marks, if you have notified us immediately of the proceeding, and complied with our directions in responding to it.

What This Means (2024 FDD)
According to Red Wagon Club's 2024 Franchise Disclosure Document, franchisees are prohibited from communicating with any person other than Red Wagon Club and its affiliates' attorneys regarding any trademark infringement, challenge, or claim. This requirement is in place to ensure that Red Wagon Club maintains control over its trademarks and the legal strategy for protecting them.
This restriction means a Red Wagon Club franchisee must immediately notify Red Wagon Club of any potential trademark issues they encounter. They cannot independently contact or discuss the matter with any third parties. This includes potential infringers, other franchisees, or legal counsel outside of those approved by Red Wagon Club.
The franchisor retains exclusive control over any litigation or proceedings related to trademark issues. This approach is typical in franchising, as the franchisor has a vested interest in protecting the brand's trademarks uniformly across all locations. The franchisee is obligated to sign documents and take actions deemed necessary by Red Wagon Club's attorneys to protect the trademarks.
While franchisees are restricted from independent communication, Red Wagon Club will reimburse franchisees for damages and expenses incurred in responding to a trademark infringement proceeding, provided the franchisee immediately notified Red Wagon Club and complied with their directions. This offers some financial protection to the franchisee, contingent on adhering to Red Wagon Club's instructions and communication protocols.
