What This Means (2024 FDD)

According to the 2024 Red Wagon Club Franchise Disclosure Document, the license granted to the Licensee to use the Marks and Licensed Materials is explicitly non-transferrable. The agreement specifies that the Franchisee grants the Licensee a limited, non-exclusive, and non-transferrable right and sublicense to use the Marks and Licensed Materials during the term of the agreement strictly in connection with the operation of the Licensee's Law Firm Business. This means the Licensee cannot transfer these rights to another party without violating the agreement.

Furthermore, the agreement states that it is personal to the Licensee and cannot be assigned except in accordance with the agreement and with the prior written consent of both the Franchisee and Franchisor. This consent can be withheld at the sole discretion of either party. Any transfer of stock or ownership interests, including through merger or reorganization, or the sale of substantially all of the Licensee's assets, is considered an assignment of the agreement, reinforcing the restriction on transferability.

This non-transferability clause protects Red Wagon Club's brand integrity and ensures that the use of its Marks and Licensed Materials remains under its control. For a prospective Licensee, this means they cannot sell or transfer their rights to use the Red Wagon Club's intellectual property to another business or individual without explicit approval, which may not be granted. This limitation is common in franchising to maintain consistency and quality across the brand.
