What This Means (2024 FDD)
According to Red Wagon Club's 2024 Franchise Disclosure Document, the release provided by a franchisee extends to their assigns. The document specifies that the franchisee, on their own behalf and on behalf of their successors, heirs, executors, administrators, personal representatives, agents, assigns, partners, owners, managers, directors, officers, principals, employees, and affiliated entities (collectively, the "Releasing Parties"), releases Red Wagon Club and its related parties.
This means that anyone to whom the franchisee assigns their rights or interests is also bound by the terms of the release, preventing them from pursuing claims against Red Wagon Club. This is a comprehensive release that covers a wide range of individuals and entities associated with the franchisee.
However, the release does not apply to any liability under the Washington Franchise Investment Protection Act RCW 19.100 if the franchise is located in Washington or any of the releasing parties is a resident of Washington. Additionally, the franchisee acknowledges that they have consulted with legal counsel and understand the implications of waiving rights under California Civil Code Section 1542, if applicable.
