If we establish the Brand Fund, we or our affiliates or other designees will direct all programs that are funded by contributions to the Brand Fund, with sole control over the creative concepts, materials, and endorsements used and their geographic, market, and media placement and allocation. We may use contributions to the Brand Fund to pay for preparing and producing materials and electronic or digital media in any form or format that we periodically designate, including but not limited to: administrating online advertising strategies, including developing and maintaining a System Website and mobile apps; administering regional and multi-regional marketing and advertising programs; implementing gift and loyalty programs; and supporting public relations, market research, product development, and other advertising, promotional, social media, creation and publishing of books and other marketing materials; and marketing activities.

What This Means (2024 FDD)
According to the 2024 Red Wagon Club Franchise Disclosure Document, if a Brand Fund is established, Red Wagon Club, its affiliates, or other designees will direct all programs funded by contributions to the Brand Fund. This includes having sole control over the creative concepts, materials, endorsements, and their placement in various markets and media.
Red Wagon Club details how the Brand Fund contributions may be used. These contributions can cover the preparation and production of materials, electronic or digital media, online advertising strategies, the System Website and mobile apps, regional and multi-regional marketing programs, gift and loyalty programs, public relations, market research, product development, social media, and the creation of marketing materials. Red Wagon Club also has the discretion to sell copies of certain materials funded by the Brand Fund to franchisees at reasonable prices.
Red Wagon Club is not required to segregate Brand Fund contributions from its other funds but will account for them separately. These contributions will not be considered Red Wagon Club's assets, and while they are held for the benefit of the contributors, Red Wagon Club does not assume a fiduciary obligation in respect to those contributions. Red Wagon Club can spend more or less than the total contributions in any fiscal year, borrow to cover deficits, or invest any surplus for future use. An annual, unaudited statement of Brand Fund collections and expenses will be provided to franchisees upon written request, and the Brand Fund may be audited annually at its expense by an independent certified public accountant.
Red Wagon Club also has the right to defer or reduce contributions to the Brand Fund, suspend its operations, or terminate it altogether. If terminated, Red Wagon Club can either spend all unspent monies at its discretion or distribute the funds to the contributing RWC Business owners in a manner it deems fair and equitable. Red Wagon Club does not have advertising councils.
