You may use these items only as we specify while operating your RWC Business (and must stop using them if we so direct you).
There currently are no effective adverse determinations of the United States Copyright Office (Library of Congress) or any court regarding the copyrighted materials. No agreement limits our right to use or allow others to use the Confidential Information (defined below) or copyrighted materials. We know of no infringing uses of our copyrights which could materially affect your using the copyrighted materials in any state. We need not protect or defend our copyrights, although we intend to do so if we determine that it is in the System's best interests. We may control any action involving the copyrights, even if you voluntarily bring the matter to our attention. We need not participate in your defense nor indemnify you for damages or expenses in a proceeding involving a copyright.

What This Means (2024 FDD)
According to Red Wagon Club's 2024 Franchise Disclosure Document, Red Wagon Club claims copyrights to several items that are material to the franchise. These include the Operations Manual, handbooks, the System Website, advertising and marketing materials, all or part of the Marks, and other portions of the System and other similar materials used in operating RWC Businesses. While these copyrights have not been registered with the United States Registrar of Copyrights, Red Wagon Club states that registration is not currently necessary to protect them.
As a Red Wagon Club franchisee, you are permitted to use these copyrighted items only as specified by Red Wagon Club while operating your business. This means Red Wagon Club has the authority to dictate how you utilize these materials in your franchise.
Importantly, Red Wagon Club can direct you to stop using these copyrighted items at any time. This provision gives Red Wagon Club significant control over the materials you use in your Red Wagon Club business and ensures uniformity across all franchises. It is also important to note that Red Wagon Club need not participate in your defense nor indemnify you for damages or expenses in a proceeding involving a copyright.
