What This Means (2024 FDD)

According to Red Wagon Club's 2024 Franchise Disclosure Document, Red Wagon Club will reimburse a franchisee for expenses related to a trademark infringement proceeding under specific conditions. The franchisee must immediately notify Red Wagon Club of the proceeding and comply with the directions provided by Red Wagon Club in responding to it.

Furthermore, Red Wagon Club is obligated to indemnify and reimburse the franchisee for damages they are held liable for in a proceeding where the franchisee's use of the mark, in compliance with the Franchise Agreement, is deemed trademark infringement. This also extends to all reasonable costs incurred in defending against a claim or proceeding where the franchisee is named as a party. However, this is contingent upon the franchisee providing timely notification of the claim or proceeding and adhering to Red Wagon Club's directions in responding to it. Red Wagon Club retains the option to defend and control the defense of any proceeding arising from the franchisee's use of any Mark under the Franchise Agreement.

These stipulations highlight the importance of franchisees adhering to Red Wagon Club's trademark usage guidelines and communication protocols. Failure to promptly notify Red Wagon Club or follow their directions could jeopardize the franchisee's right to reimbursement and indemnification in case of a trademark dispute. This is a fairly standard practice in franchising, as franchisors typically want to control the defense of their trademarks.
