What This Means (2024 FDD)
According to the 2024 Red Wagon Club Franchise Disclosure Document, the Franchise Agreement and the Sublicense Agreement are related. Concurrently with the execution of the Franchise Agreement between Red Wagon Club and the franchisee, the franchisee and the Affiliate Law Firm Business Owner enter into a Sublicense Agreement.
The Sublicense Agreement allows the franchisee to license certain rights to the Affiliate Law Firm Business Owner. These rights pertain to the use of Red Wagon Club's confidential information and certain intellectual property in connection with the Affiliate Law Firm Business. The terms and conditions of this usage are detailed within the Sublicense Agreement itself.
This arrangement indicates that the Red Wagon Club franchise is designed to work in conjunction with an existing law firm business, where the franchise provides non-legal services to members, and the law firm utilizes the licensed intellectual property to complement its legal services. Prospective franchisees should carefully review both the Franchise Agreement and the Sublicense Agreement to understand their respective obligations and rights, as well as how the two businesses are intended to operate together.
