We may negotiate purchase arrangements with some of our suppliers (including price terms) for the benefit of franchisees, but we are under no obligation to do so. We do not currently receive payment, in the form of preferred pricing or rebates, from any suppliers due to franchisee purchases from such suppliers. Because we started offering franchises at the Issuance Date of this Disclosure Document and we are in our first fiscal year, neither we nor our affiliates have derived any revenue from vendors based on required purchases by franchisees during any prior fiscal year.

What This Means (2024 FDD)
According to the 2024 Red Wagon Club Franchise Disclosure Document, Red Wagon Club does not currently receive payments from suppliers based on franchisee purchases. The FDD specifies that while Red Wagon Club may negotiate purchase arrangements with suppliers for the benefit of franchisees, they are under no obligation to do so. Currently, Red Wagon Club does not receive payments in the form of preferred pricing or rebates from any suppliers due to franchisee purchases.
However, the FDD also states that Red Wagon Club and its affiliates may, in the future, derive revenue or other material benefits based on franchisee purchases, including promotional allowances, rebates, and volume discounts from designated or approved suppliers. Currently, one of Red Wagon Club's officers owns an interest in designated suppliers of bookkeeping services, marketing services, and marketing materials.
Because Red Wagon Club started offering franchises at the Issuance Date of the 2024 Disclosure Document and is in its first fiscal year, neither Red Wagon Club nor its affiliates have derived any revenue from vendors based on required purchases by franchisees during any prior fiscal year.
