What This Means (2024 FDD)
According to Red Wagon Club's 2024 Franchise Disclosure Document, Red Wagon Club retains control over any action involving its copyrights, even if a franchisee brings the matter to their attention. This means that Red Wagon Club has the sole authority to decide how to respond to any potential copyright infringement, regardless of whether the franchisee is directly involved or discovers the infringement.
Red Wagon Club is not obligated to participate in a franchisee's defense or provide indemnity for damages or expenses if a copyright-related proceeding occurs. This highlights a potential risk for franchisees, as they may bear the full financial burden of defending themselves in copyright disputes, even if the dispute arises from the use of materials provided by Red Wagon Club.
While Red Wagon Club states its intention to protect and defend its copyrights if it deems it in the best interest of the System, the ultimate decision rests with Red Wagon Club. This clause underscores the importance of franchisees adhering strictly to the guidelines and specifications provided by Red Wagon Club regarding the use of copyrighted materials to minimize the risk of potential legal issues.
