We are a limited liability company that was formed in Florida on June 27, 2024. We began offering franchises as of the date of this Disclosure Document. We conduct business under our corporate name and the name "Red Wagon Club." Our principal business address is 2801 Florida Avenue, Suite C, Coconut Grove, Florida 33133. We do not operate businesses of the type being offered in this Disclosure Document, we do not have any other business activities, and we have not offered any franchises in any other lines of business.
Our agents for service of process are disclosed in Exhibit C.
Our Parent, Predecessors and Affiliates
We do not have any predecessors.
Out affiliate, Red Wagon Club Community, LLC ("OpCo"), a Florida limited liability company which shares our principal business address, will enter into membership agreements ("Membership Agreements") with your clients that purchase a Red Wagon Club membership of your RWC Business.

What This Means (2024 FDD)
According to Red Wagon Club's 2024 Franchise Disclosure Document, Red Wagon Club Franchise, LLC, the franchisor, does not engage in any other business activities besides offering franchises for RWC Businesses. The FDD states that Red Wagon Club does not operate businesses of the type being offered in the Disclosure Document and has not offered franchises in any other lines of business.
However, Red Wagon Club has several affiliates that are involved in related business activities. Red Wagon Club Community, LLC ("OpCo") enters into membership agreements with clients who purchase a Red Wagon Club membership. Franchise Law Firm Exploratory & Development, LLC, which is in the process of changing its name to Red Wagon Club IP, LLC ("RWC IP"), owns the trademarks and provides trademark license rights to the franchisor. Red Wagon Club Holdings, LLC ("Holdings") is the parent company of Red Wagon Club, OpCo, and RWC IP. None of these entities currently own or operate any RWC Businesses or offer franchises for RWC Businesses or any other concepts.
For a prospective franchisee, this means that Red Wagon Club's sole focus is on franchising the Red Wagon Club concept. However, franchisees will interact with Red Wagon Club's affiliates, particularly OpCo, as their clients will enter into membership agreements with OpCo. The franchisee should understand the roles and responsibilities of each of these affiliated entities and how they relate to the operation of their Red Wagon Club business. It is also important to note that the franchisee may not use the entity under which they operate any other business for the Red Wagon Club franchise.
