Does Red Wagon Club anticipate deriving revenue from franchisee purchases in the future?
Red_Wagon_Club Franchise · 2024 FDDAnswer from 2024 FDD Document
We and/or our affiliates do not currently, but may in the future derive revenue or other material benefits based on your purchases (including from charging you for products and services we or our affiliates provide to you and from promotional allowances, rebates, volume discounts and other payments, services, or consideration we receive from suppliers that we designate or approve for some or all of our franchise owners). No such arrangements currently exist. Because we started offering franchises at the Issuance Date of this Disclosure Document and are in our first fiscal year, neither we nor our affiliates have derived any revenue from franchisees' required purchases in a prior fiscal year.
Currently, one of our officers owns an interest in designated suppliers of (i) bookkeeping services, (ii) marketing services, and (iii) marketing materials. Except as set forth above, neither we nor our affiliates currently own an interest in any supplier of products or services to our franchisees, but we may do so in the future.

What This Means (2024 FDD)
According to Red Wagon Club's 2024 Franchise Disclosure Document, Red Wagon Club does not currently derive revenue from franchisee purchases but indicates this may change in the future. Specifically, Red Wagon Club states that it "may in the future derive revenue or other material benefits based on your purchases (including from charging you for products and services we or our affiliates provide to you and from promotional allowances, rebates, volume discounts and other payments, services, or consideration we receive from suppliers that we designate or approve for some or all of our franchise owners)." Currently, no such arrangements are in place.
This potential future revenue stream for Red Wagon Club could come from several sources related to franchisee purchases. These include direct charges for products and services provided by Red Wagon Club or its affiliates, as well as indirect benefits like promotional allowances, rebates, and volume discounts received from designated suppliers. This arrangement is common in franchising, where franchisors often negotiate deals with suppliers and may receive compensation for directing franchisee purchases to those suppliers.
Currently, one of Red Wagon Club's officers has an ownership interest in designated suppliers of bookkeeping, marketing services, and marketing materials. Red Wagon Club also states that neither they nor their affiliates currently own an interest in any other supplier of products or services to franchisees, but they may do so in the future. As a prospective franchisee, it is important to understand that Red Wagon Club may benefit financially from required purchases, which could influence their choice of designated suppliers. Franchisees should evaluate whether the designated suppliers offer competitive pricing and quality compared to alternative options.
