Can Red Wagon Club allow other businesses to operate as part of the Red Wagon Club System?

According to Red Wagon Club's 2024 Franchise Disclosure Document, Red Wagon Club reserves the right to allow other businesses to operate as part of the Red Wagon Club System. Specifically, Red Wagon Club can acquire or be acquired by, merge or affiliate with, or engage in any transaction with other businesses and allow these other businesses to operate as part of or to use the elements of the Red Wagon Club System.

This reservation of rights means that Red Wagon Club retains broad discretion over the evolution and expansion of its brand. For a franchisee, this implies that the competitive landscape could change significantly if Red Wagon Club decides to integrate other businesses into its system. These other businesses could be competitive or complementary.

While Red Wagon Club states that they and their affiliates do not currently do so, and have no current plans to do so, they and their affiliates may develop or become associated with other businesses, including other membership-based concepts and systems that offer the same or similar services, and/or award franchises under such other concepts. However, if these businesses are located in a franchisee's protected territory, they cannot be identified by the Red Wagon Club Marks, although Red Wagon Club can still allow them to use other elements of the Red Wagon Club System and System Standards.
