What This Means (2025 FDD)
According to My Salon Suite's 2025 Franchise Disclosure Document, the Guarantor is unconditionally guaranteeing that the Franchisee will punctually pay and perform each and every undertaking, agreement, and covenant set forth in the Franchise Agreement, including any amendments or modifications. This guarantee extends for the term of the agreement, including any extensions, and even after the agreement has ended, as provided in the agreement.
In addition to guaranteeing the Franchisee's payment and performance, the Guarantor also agrees to be personally bound by, and personally liable for the breach of, each and every provision in the Agreement, including any amendments or modifications. This personal liability extends to both monetary obligations and obligations to take or refrain from taking specific actions or to engage or refrain from engaging in specific activities.
Specifically, the Guarantor's obligations include, but are not limited to, the non-competition, confidentiality, transfer, and arbitration requirements outlined in the Franchise Agreement. This means the Guarantor is taking on a significant responsibility, as they are essentially stepping into the shoes of the Franchisee and ensuring all aspects of the agreement are fulfilled.
