SUITE MANAGEMENT FRANCHISING, LLC. FRANCHISE AGREEMENT
This Franchise Agreement ("Franchise Agreement") is made and entered into by and between Suite Management Franchising, LLC, a Florida limited liability company ("Franchisor"), and that certain Franchise Owner identified on Attachment A to this Franchise Agreement ("Franchisee"), as of the date signed by Franchisor and set forth below Franchisor's signature on this Franchise Agreement ("Effective Date").
BACKGROUND
- A. As the result of the expenditure of time, skill, effort and money, Franchisor and its Affiliate (as defined below) have developed and own the rights to franchise a unique and distinctive system ("System") relating to the establishment and operation of facilities at an Approved Location (defined in Section 1 below) that provide turnkey salon suite studios and ancillary services to salon professionals under the trademarks "My Salon Suite" (individually the "Franchised Business"). "My Salon Suite" Franchised Businesses provide a luxury environment. Unless otherwise noted in this Franchise Agreement, all references to "Franchised Business" means the My Salon Suite business designated by Franchisor in Attachment A.

The distinguishing characteristics of the System include, without limitation, distinctive exterior and interior design, décor, color scheme, and furnishings of a Franchised Business; proprietary services and products that are offered to clientele of a Franchised Business; uniform standards, specifications, and procedures for operations; quality and uniformity of products and services offered; procedures for inventory, management and financial control; training and assistance; and advertising and promotional programs; all of which may be changed, improved, and further developed by Franchisor from time to time.

What This Means (2025 FDD)
According to the 2025 My Salon Suite Franchise Disclosure Document, a transferee must execute the Franchise Agreement and a Transfer Addendum. The Franchise Agreement is between Suite Management Franchising, LLC and the Franchise Owner, as indicated on Attachment A of the agreement. This agreement grants the right to operate a My Salon Suite franchise business.
The Transfer Addendum modifies certain provisions of the Franchise Agreement to align with the purchase of an existing franchised business. This addendum is incorporated into the Franchise Agreement, and its terms take precedence in case of any conflicts. The Transfer Addendum includes specific amendments to sections of the agreement, such as those related to site selection and construction, fees, training, and marketing.
Specifically, the Transfer Addendum stipulates that the Transferor or Transferee must pay a transfer fee of $15,000. This fee is considered fully earned and nonrefundable upon the execution of the agreement. Additionally, the addendum modifies the training timeline, requiring training to occur within 60 days of taking possession of the franchised business, rather than 60 days from the effective date of the agreement. The Grand Opening Advertising subsection of the agreement is also deleted, indicating that grand opening advertising is not required for a transfer.
