Franchisee shall not, during the term of this Franchise Agreement or thereafter, communicate, divulge, or use for the benefit of any other person or Entity, any Confidential Information including, without limitation, Trade Secrets, copyrighted materials, as well as any methods and other techniques and know-how concerning the operation of the Franchised Business which may be communicated to Franchisee or of which Franchisee may be apprised by virtue of Franchisee's operation of the Franchised Business. Franchisee may divulge such Confidential Information only to such of Franchisee's employees as must have access to it to operate the Franchised Business. All information, knowledge, know-how, techniques, and other data which Franchisor designates as confidential will be deemed Confidential Information for purposes of this Franchise Agreement, but Franchisor is not required to expressly designate certain material as confidential for it to be considered Confidential Information if the material is, by its very nature, proprietary and confidential. Upon termination or expiration of this Franchise Agreement, regardless of reason, Franchisee shall return all copies of such Confidential Information to Franchisor immediately, and Franchisee may not use the Confidential Information for any purpose other than operating the Franchised Business in accordance with the System Standards.

What This Means (2025 FDD)

According to the 2025 FDD, My Salon Suite considers certain information as 'Confidential Information.' This includes the franchise's Manual, proprietary training, marketing, and instructional materials. It also encompasses trade secrets, details about the system's methodologies, aspects of the franchise's operation, financial data, vendor pricing, clientele lists, and data obtained from operating the franchised business.

My Salon Suite requires franchisees to maintain the confidentiality of this information both during the term of the Franchise Agreement and after its termination or expiration. Franchisees are prohibited from communicating, divulging, or using this confidential information for the benefit of any other person or entity. The franchisee can only share confidential information with employees who need access to it to operate the franchised business.

Upon termination or expiration of the Franchise Agreement, the franchisee must return all copies of the confidential information to My Salon Suite immediately. The franchisee is then prohibited from using this information for any purpose other than operating the franchised business in accordance with the System Standards. This obligation extends beyond the termination of the agreement, ensuring the continued protection of My Salon Suite's proprietary information.

This clause is typical in franchise agreements to protect the franchisor's competitive advantage and proprietary systems. Prospective My Salon Suite franchisees should understand the scope of 'Confidential Information' and the restrictions on its use, both during and after the franchise term, as violations could lead to legal repercussions.
